1. Acceptance of Terms

By accessing or using Clipses ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Clipses is operated by The Good Ventures LLC dba Clipses ("we," "our," or "us"). We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance of the modified Terms.

2. Description of Service

Clipses is a platform that enables users to upload video content, generate transcriptions, and create highlight reels and clips from their videos. The Service includes video processing, transcription, clip creation, project management, and related tools.

3. Eligibility and Registration

• You must be at least 18 years old to use the Service.
• You agree to provide accurate information during registration.
• You are responsible for maintaining the security of your account.

4. Subscription and Payment

4.1 Subscription Plans

Clipses offers subscription plans with monthly and annual billing options. Prices are displayed at checkout and may include promotional discounts (e.g., Founding Member pricing).

4.2 Billing

• Subscriptions are billed in advance on a recurring basis.
• Payment is processed through Stripe, our third-party payment processor.
• You authorize us to charge your payment method for subscription fees.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access until the end of your current billing period. No refunds are provided for partial periods.

5. User Conduct

You agree to:

• Use the Service in good faith
• Only upload content you have the rights to use
• Respect other users and maintain professional conduct
• Provide accurate information when submitting support tickets
• Not abuse the support system

You agree NOT to:

• Upload content that infringes on others' intellectual property rights
• Share your account credentials with others
• Attempt to manipulate or abuse the service
• Use the Service for any illegal purpose

6. Content and Intellectual Property

You retain ownership of all video content you upload. By using the Service, you grant us a limited license to process, transcribe, and store your content solely for the purpose of providing the Service.

The Service, including its design, features, and content, is owned by Clipses and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

7. Support System

• Support tickets may include automatic collection of browser and device information for troubleshooting purposes.
• Screenshots uploaded to support tickets are stored securely and used only for troubleshooting.
• We may retain support ticket history for quality assurance and training.

8. Newsletter & Communications

• Users may opt-in to receive marketing communications and newsletters.
• Unsubscribe options are available in account settings and email footers.
• Transactional emails (processing notifications, verification notices) are not optional while you have an active account.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• Specific results or quality of transcriptions
• Continuous, uninterrupted access to the Service
• That the Service will meet all your requirements
• 100% accuracy of transcriptions or clip timing

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPSES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Clipses, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and associated data
• No refunds will be provided for remaining subscription periods

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

These Terms shall be governed by the laws of the State of Oregon, without regard to conflict of law principles.

14. Miscellaneous

• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Entire Agreement: These Terms constitute the entire agreement between you and Clipses regarding the Service.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights freely.
